1. Acceptance of Terms

By accessing or using ClearOne CRM("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

ClearOne CRM is an industry-adaptive customer relationship management platform designed for consultants and small businesses. The Service includes mobile applications, web interfaces, and related features for managing contacts, sales pipelines, automations, and integrations.

3. Account Registration

To use certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription and Payments

4.1 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All payments and subscriptions are processed securely through your platform's app store (e.g., Apple App Store) and managed by our subscription provider. All fees are non-refundable except as required by law or as explicitly stated in these Terms or the app store's policies.

4.3 Price Changes

We reserve the right to modify pricing with 30 days notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malicious code, spam, or harmful content
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the Service or servers
  • Collect user information without consent
  • Use the Service for any illegal or unauthorized purpose

6. Your Data

6.1 Ownership

You retain all rights to the data you upload to the Service. We do not claim ownership of your content.

6.2 License

You grant us a limited license to use, store, and process your data solely to provide and improve the Service.

6.3 Data Export

You can export your data at any time. Upon account termination, we will make your data available for export for 30 days.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ClearOne CRM and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

8. Third-Party Integrations

The Service relies on third-party services for core functionality (e.g., Supabase for data storage, Firebase for analytics, OneSignal for notifications) and may integrate with other applications (Zapier, n8n, WhatsApp, etc.). Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party services, content, or practices, and their availability is outside our direct control.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ClearOne CRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ClearOne CRM and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ClearOne CRM is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
